Senior Counsel, Technology Initiatives

Overview

Mastercard, a technology company in the global payments industry, is seeking an attorney to join our global team focused on driving innovative legal coverage for important technology initiatives, transactions and operations. The team works closely with partners across Mastercard in technology, operations, data, security, product and regional teams, as well as other colleagues in the law department.

This challenging and visible position will interface with internal and external stakeholders across all seniority levels and involve advising on emerging technology issues, including enterprise architecture, cloud, automation, security and data matters, as well as ongoing legal support for global technology contracts, mergers and acquisitions, integration of acquired businesses and other matters relating to the technology and operations organization.

The position could be based in New York, NY or St. Louis, Missouri.

Role

Provide strategic guidance and advice on important forward-looking technology initiatives, including enterprise architecture, cloud, platforms, products, services, automation, security and data €“ by helping to develop strategy and tactics, drafting policies and procedures, digesting and reflecting regulatory, public policy and legal inputs, reviewing associated communications materials and other legal oversight.

Negotiate and draft agreements, and together with the team, advise clients on deal structure, interpreting rights and responsibilities and addressing disputes.۬

Foster and build strong relationships with business stakeholders and department colleagues to promote cross-functional collaboration, as well as ensure seamless legal advice and support to achieve positive results for Mastercard.

Coordinate with subject matter experts in data privacy, intellectual property, regulatory/public policy, franchise, security, finance, sales, emerging payments and other internal and external stakeholders to ensure products and agreements are consistent with corporate strategy and internal policies and procedures.۬

Collaborate with sourcing, IT, finance, human resources, and other departments to analyze business and legal contract terms.

Assist the Senior Vice President, Strategic Initiatives and Technology Counsel and other members of the team on administrative and organizational matters and process improvements and upgrades €“ including drafting and updating policies and procedures, creating standard agreements and training €“ both within the team, as well as part of broader transformation initiatives.

Assist the team with internal and external thought leadership activities.

All About You

JD from an established and reputable law school and appropriate bar admission.

Demonstrated transactional technology background and sound business and legal judgment, gained at the level of a mid- to senior-level associate in a leading law firm with a cutting-edge and broad technology practice; in-house experience with related matters is a plus, as is M&A and technology transformation experience.

Familiarity with enterprise architecture, cloud, automation, security and data is important €“ non-legal technology experience in these areas is additive, though not required.

Proficiency in contract drafting and negotiation and experience in commercial practices generally are required.

Cross-functional project leadership and management, expert drafting, communication, negotiation skills are critical €“ including fluency with working with, coordinating and driving a variety of global legal and non-legal expert teams (including regulatory/public policy, intellectual property, data privacy, security and others).

Must be prompt and exercise good legal and business judgment while working to identify, develop, draft, negotiate, drive and implement proactive and creative business oriented solutions €“ must be able to problem solve and assist business leads in finding and implementing appropriate solutions to legal and business issues.

Aside from being a proven individual contributor, must be able to work as part of a team, and have strong collaborative skills and experience with coordinating cross-functional teams to execute initiatives and transactions.

Presence, credibility and agility to interact and influence colleagues and transaction participants across functional skillsets and seniority levels.
